These Terms of Service ("Terms") govern your access to and use of LaraOffice's website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using our Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
LaraOffice provides a cloud-based office management platform that includes various modules such as HRMS, Accounting, CRM, Sales Management, Marketing, and other business management tools. The specific features available to you depend on your subscription plan.
3. Account Registration
To use our Services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized account access
- Be at least 18 years old or have parental consent
You are responsible for all activities that occur under your account.
4. Subscription and Payment
4.1 Pricing
Our pricing is based on the modules you select and the number of users. Current pricing is available on our website and may change with 30 days notice.
4.2 Billing
You agree to pay all fees according to your selected billing cycle (monthly or annual). Fees are non-refundable except as expressly stated in these Terms.
4.3 Taxes
You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.
5. Your Data
5.1 Ownership
You retain all rights to the data you upload to LaraOffice ("Your Data"). We do not claim ownership of Your Data.
5.2 License
You grant us a limited license to use Your Data solely to provide and improve our Services.
5.3 Data Export
You may export Your Data at any time during your subscription. Upon termination, we will make Your Data available for export for 30 days.
6. Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code or attempt to breach security
- Use the Services for spam or unauthorized advertising
- Interfere with other users' access to the Services
- Reverse engineer or attempt to extract source code
- Use the Services to store or transmit illegal content
7. Intellectual Property
LaraOffice and its licensors retain all rights to the Services, including all software, designs, trademarks, and other intellectual property. These Terms do not grant you any rights to use LaraOffice trademarks without our written consent.
8. Confidentiality
We will treat Your Data as confidential information and will not disclose it to third parties except as necessary to provide the Services or as required by law.
9. Service Level Agreement
For paid subscriptions, we commit to 99.9% uptime for Professional and Enterprise plans. If we fail to meet this commitment, you may be eligible for service credits as described in our SLA policy.
10. Termination
10.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
10.2 By Us
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law.
10.3 Effect of Termination
Upon termination, your right to use the Services ends immediately. You may export Your Data for 30 days after termination.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LARAOFFICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold LaraOffice harmless from any claims, damages, or expenses arising from your use of the Services, Your Data, or your violation of these Terms.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the Services constitutes acceptance of the modified Terms.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
16. Dispute Resolution
Before filing a claim, you agree to attempt to resolve disputes informally by contacting us. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal action.
17. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and LaraOffice.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any right is not a waiver of that right.
- Assignment: You may not assign these Terms without our consent.
